Corporate Update
Dear Shareholders,
Further to the update to shareholders of 31 July 2026, Synairgen Limited (the “Company”), a clinical-stage biotechnology company with the sole asset SNG001 (inhaled interferon beta), today wishes to further update shareholders as to the progress of the orderly wind-down of operations, and preparations for a Members’ Voluntary Liquidation (“MVL”).
Consistent with the indicative timetable set out in the update of 31 July and following a Company Board meeting held today, the Directors confirm the following:
- The financial position of the Company, and its wholly owned subsidiary Synairgen Research Limited (“SRL”), were confirmed as solvent;
- It was resolved that a general meeting of members of the Company be convened on 8 September 2026 for the purpose of placing the company into MVL; and
- The approval of the Circular for issue to members setting out the background to the proposed liquidation along with the requisite notice, resolution for approval, and supporting guidance regarding voting and Proxy Instruction.
The Circular (incorporating a timetable for the proposed MVL and details of the general meeting) will be posted, and where relevant e-mailed, to members, and can also be found on the Company’s website via the following link here.
